These Terms and Conditions govern the relationship between London Axion Ltd (referred to as “we”, “us” or “London Axion”) and any individual or business (referred to as “you” or “the client”) who engages our AI automation services.
By engaging London Axion for any service, you agree to these Terms and Conditions in full. If you do not agree, you should not proceed with our services.

Our Services
London Axion provides AI automation services including but not limited to:
- AI workflow automation
- CRM and marketing automation
- AI chatbots and virtual assistants
- Data and systems integration
- Document and invoice automation
- AI voice agents
- Process consulting and automation mapping
- The exact scope of services is defined in a written project proposal before work begins.
Project Proposals and Agreements
Work begins only after written agreement of a project proposal. Each proposal includes:
Scope of work
- Timeline and milestones
- Total project cost
- Payment terms
- Assumptions or dependencies
- Verbal agreements are not binding.
Payment Terms and Project Completion
A. Deposit
A 50% deposit is required before work begins.
B. Remaining Balance
The remaining 50% is due upon project completion and before final delivery.
C. Deemed Completion and Acceptance
Once we deliver a system or milestone for review, you have seven (7) business days to test the deliverables and report any issues in writing. If we receive no feedback within seven business days, the deliverables will be deemed accepted unless a reasonable dispute is raised in writing within that period, and the final 50% balance invoice becomes immediately due.
D. Invoicing
Invoices are payable within 14 days unless agreed otherwise. Late payments may incur interest and compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 and applicable UK law.
E. Retainers
Retainer payments are made monthly in advance unless otherwise agreed in writing.
Cancellation and Refund Policy
Cancellation before work starts: deposit refunded minus a maximum administration fee of £150 to cover reasonable pre-project setup and administrative costs incurred.
Cancellation after work starts: deposit is non-refundable. Work completed will be billed proportionally.
Completed projects: no refunds after delivery.
Retainers: minimum 30 days notice unless otherwise agreed in writing.
Intellectual Property and Ownership
A. Client Deliverables (Foreground IP)
Upon receipt of full payment and settlement of all outstanding invoices relating to the project, the specific, customised workflows, integrations, and deliverable systems built uniquely for your project become your sole property.
B. Agency Toolkits (Background IP)
London Axion retains all ownership rights to our pre-existing code, generic templates, script libraries, custom-built node logic, database schemas, and proprietary methodologies used to build your automation systems. We grant you a perpetual, royalty-free, non-exclusive licence to use our Background IP solely within your delivered automation system. You may not resell, sublicense, or distribute our Background IP outside the delivered system.
C. Marketing Use
We retain the right to reference the project type, platform tools used, and general business outcomes for marketing and case study purposes unless you request otherwise in writing.
Confidentiality
All client information, proprietary business data, and system structures are treated as strictly confidential and will not be shared with third parties without written consent. This obligation continues indefinitely after project completion.
No Subcontracting
We do not subcontract client work to third-party developers without your prior written approval.

London Axion handles personal data in compliance with the UK GDPR and the Data Protection Act 2018.

All automation systems are designed with UK GDPR principles in mind where applicable. Where we process personal data on your behalf, we do so under appropriate data processing agreements (DPAs) and contractual terms.
Third-Party Tools and AI Outputs
A. Platform Dependencies
We build systems using third-party platforms such as Make, Zapier, n8n, OpenAI, Anthropic, and similar tools. You acknowledge that:
We have no control over, and are not responsible for, changes in third-party pricing, API updates, functionality changes, or service downtime.
You are responsible for maintaining and paying for your own active accounts and subscriptions for these third-party platforms once the system is delivered.
B. Generative AI Outputs and API Costs
Because generative AI models are non-deterministic:
We do not guarantee the accuracy, reliability, or completeness of any AI-generated outputs produced by your completed chatbots, voice agents, or automated systems. We are not liable for any incorrect, offensive, or biased outputs (commonly known as hallucinations) generated by these systems.
You are responsible for monitoring and setting usage caps on your API accounts such as OpenAI. We are not responsible for any unexpected or runaway API usage charges incurred on your third-party accounts.
Client Responsibilities
Clients must:
Provide timely access to required systems, API keys, and platforms
Assign a responsive, responsible point of contact
Review deliverables within agreed timeframes (subject to Section 4C)
Ensure all data and login access credentials provided to us are accurate, secure, and lawful
Delays caused by the client may impact project timelines and overall development costs.
Amendments to Scope
Any scope changes or feature creep requested after a project proposal is agreed must be formally agreed in writing. Additional development work will be quoted and billed separately.
Limitation of Liability
Please read this section carefully as it limits our liability under these terms.
A. Absolute Exclusions
Nothing in these Terms shall limit or exclude our liability for:
Death or personal injury caused by our negligence
Fraud or fraudulent misrepresentation
Any other liability which cannot be limited or excluded by applicable English law
B. Aggregate Cap
Subject to Section 13A, our total aggregate liability under or in connection with these Terms whether in contract, tort, negligence, or otherwise is strictly limited to the total amount paid by the client to us for the specific project giving rise to the claim, or the fees paid in the twelve (12) months preceding the claim, whichever is lower.
C. Excluded Losses
We provide services with reasonable professional skill and care but do not guarantee specific business revenue growth, cost savings, or operational results. We are not liable under any circumstances for:
Loss of profit, revenue, data, contracts, or business opportunities
Failures, outages, or security breaches of third-party platforms
Indirect, special, or consequential losses
Issues caused by modifications you or a third party make to the automation system after final delivery
Errors or workflow breaks resulting from incorrect data or API credentials provided by you
Governing Law and Dispute Resolution
These Terms are governed by, and construed in accordance with, the laws of England and Wales.
In the event of a dispute, both parties agree to attempt to resolve the matter through good-faith negotiations before initiating formal legal or court proceedings.
Changes to These Terms
We may update these Terms at any time. Continued use of our services after updates means acceptance of the revised Terms. Any variations to these Terms in respect of an ongoing, active project proposal shall only be binding if mutually agreed in writing by both parties.
